These terms of use govern your use of this website. Please read them together with our privacy policy, which explains how we handle personal data.

Acceptance and who we are

This website is run by Nexority Infotech Private Limited (“Nexority Infotech”, “we”, “us” or “our”), a company registered in India with its registered office at Unit 508, 5th Floor, Tower 4, Assotech Business Cresterra, Sector 135, Noida, Uttar Pradesh 201305, India. Nexority Tech and Nexority EdTech are brands of Nexority Infotech.

By using the website, you agree to these terms. If you use it on behalf of an organization, you accept these terms for that organization and confirm that you are authorized to do so. If you do not agree, please do not use the website.

Using the website

You may browse the website, share links to its pages, and use its forms for their intended purpose: to send an inquiry, leave a voice message, apply for a job, subscribe to our newsletter or download a resource. The website is meant for businesses, professionals and job seekers. You must be at least 18 to send us a form.

Acceptable use

You must not:

  • Break any law, or use the website to harm, mislead or harass anyone.
  • Give false information, impersonate anyone, or send a form on someone else’s behalf without their permission.
  • Send spam or bulk submissions, or use bots or scripts to fill in our forms.
  • Upload malware, or any file that is not what it claims to be.
  • Try to gain unauthorized access to the website, its content management system or any account, or probe, scan or test its security without our written permission.
  • Get around the website’s protections, such as download forms, spam checks and limits on form submissions, or post download links publicly.
  • Overload the website or interfere with how it works for others.
  • Copy content in bulk by scraping, crawling or other automated means, or use it to train machine-learning or AI models, without our written permission. Ordinary search engine indexing is welcome.
  • Frame or mirror the website, or present its content as your own.

Inquiries, applications and voice messages

When you send us an inquiry, voice message, job application or any other submission, these points apply:

  • Accurate and yours to share: include only information that is true and that you have the right to give us. Do not include other people’s personal data unless they have agreed.
  • No confidential material: please do not send confidential or commercially sensitive information through the website. An inquiry does not create a duty of confidentiality or a client relationship. If you need confidentiality before sharing details, ask us for a non-disclosure agreement.
  • Voice messages: record only your own voice, and do not record other people without their permission. We use recordings to reply to your inquiry, as our privacy policy explains.
  • Job applications: applying does not guarantee an interview or an offer. Any offer of employment is made separately, in writing. We may verify the information you give us, as the law allows.
  • Newsletter: subscribe only an email address you control. We send nothing until you confirm it, and you can unsubscribe at any time using the link in every issue.
  • Our use of your submission: you allow us to store, review and share your submission within Nexority Infotech and with our service providers so that we can respond to it, as described in our privacy policy.
  • Feedback: if you send us suggestions about the website or our services, we may use them freely, with no obligation to you.
  • Our discretion: we aim to reply to genuine inquiries, but we may decline any submission and delete any that breaks these terms.

Gated resources and how you may use them

Some resources, such as guides and reports, are available after you fill in a short form. Unless a resource says otherwise:

  • You may read it and share it within your organization for internal reference.
  • You may quote short extracts, with credit to Nexority Infotech and a link to the website.
  • You may not sell it, republish it, post it publicly, remove our name or notices from it, or present it as your own.
  • The download link we send you is for you alone, works for 24 hours, and must not be shared publicly.

If a resource comes with its own license terms, those terms apply to it.

Intellectual property

The website and its content, including text, graphics, images, video, audio, code, page design and downloadable resources, belong to Nexority Infotech or to those who have licensed them to us. They are protected by copyright and other intellectual property laws. Except as these terms allow, you may not copy, adapt, distribute or publicly display them without our written permission. Using the website does not transfer any ownership to you.

Trademarks and product names

Nexority, Nexority Infotech, Nexority Tech and Nexority EdTech, and the names and logos of our products, including NexAura, BabbleNex, VahanBill, Cogniix Invoice, CurriculumCraft, Assessly, AltOne, NexDescribe and AccessiCheck, are trademarks or trade names of Nexority Infotech, whether or not registered. Without our written permission, you may not use them in a way that suggests we endorse, sponsor or are connected with you, or as part of a domain name, product name or social media account. You may refer to us and our products by name in a fair and accurate way.

Other names, logos and trademarks on the website, including those of clients and technology partners, belong to their owners. Their appearance here gives you no right to use them.

No professional advice

Our articles, case studies, guides and other content are general information about our services and our field. They are not legal, regulatory, accessibility compliance, financial or other professional advice. Content about laws and standards, such as accessibility or data protection requirements, reflects our understanding when it was written and may not fit your situation. Take professional advice before acting on it.

Case studies describe what happened in specific engagements with specific clients. They are not a promise that you will get the same results.

Accuracy

We work to keep the website accurate and current, but content may contain errors or go out of date, and we may change or remove it at any time. Service descriptions, product features, figures, timelines and examples are for information only. They are not an offer, and they do not bind us unless they are written into a signed agreement.

The website links to sites we do not control, such as our social media profiles. Some pages embed content from other providers, such as the Google map on our contact page, which loads only when you choose to open it. Once you follow a link or load embedded content, that provider’s terms and privacy policy apply. We are not responsible for their content, availability or practices, and a link does not mean we endorse them.

How these terms relate to client agreements

If you are a client, our services are governed by the written agreement between us, such as a master services agreement (MSA) and statement of work (SOW). If these terms conflict with that agreement, the agreement prevails. These terms do not form part of, or change, any client agreement, and nothing on the website creates a client relationship until an agreement is signed.

The same applies to our software products: when you use one, the agreement or terms for that product govern that use, not these terms.

Disclaimers

We provide the website and its content “as is” and “as available”. To the maximum extent the law permits, we give no promises or warranties, express or implied, about the website. That includes any promise that it will be accurate, complete, uninterrupted, secure or free of errors, viruses or other harmful components, or that it will meet your needs. We may suspend, change or withdraw any part of the website at any time.

Limitation of liability

To the maximum extent the law permits, Nexority Infotech and its directors, employees and service providers are not liable for any indirect, incidental, special or consequential loss. Nor are they liable for any loss of profit, revenue, business, goodwill or data arising from or connected with your use of, or inability to use, the website or its content, even if we were told such loss was possible.

The website is provided free of charge. To the maximum extent the law permits, we are not liable to you for any other loss arising from your use of it.

Nothing in these terms excludes or limits any liability that the law does not allow us to exclude or limit, such as liability for fraud, or for death or personal injury caused by negligence. These limits do not govern our services to clients, which are covered by the client agreement.

Indemnity

You agree to indemnify Nexority Infotech and its directors and employees against any claims, losses, liabilities, damages and reasonable costs, including legal fees, arising from your breach of these terms, your misuse of the website, or anything you submit that infringes someone else’s rights or breaks the law.

Privacy

Our privacy policy explains what personal data we collect through the website, including through its forms, cookies and analytics, how we use it, and the rights you have. It applies whenever we handle your personal data through the website.

Suspension

We may block, restrict or suspend your access to the website, reject or delete your submissions, or withdraw a resource or download link. We may do so if we reasonably believe you have broken these terms or put the website or its users at risk, or if the law requires it. We may do this without notice. Automatic protections, such as limits on how often forms can be sent, may also block you for a short time.

Changes to these terms

We may update these terms, for example when the website or the law changes. The updated terms apply from the date shown at the top of this page, and if you keep using the website after that, you accept them. If a change is significant, we will point it out on this page.

Governing law and jurisdiction

These terms, and any dispute or claim arising from them or from your use of the website, are governed by the laws of India. The courts at Noida (Gautam Buddh Nagar), Uttar Pradesh, have exclusive jurisdiction. If you use the website as a consumer, this does not take away any protection you have under the mandatory laws of the country where you live.

Severability and entire agreement

Severability. If a court finds any part of these terms invalid or unenforceable, that part will be limited or removed only as far as necessary, and the rest stays in force.

Entire agreement for website use. These terms are the whole agreement between you and us about your use of the website, and they replace any earlier terms for it. They do not replace any client agreement, product terms or non-disclosure agreement you have with us.

No waiver. If we do not enforce a right under these terms straight away, we can still enforce it later.
